By continuing to use the Services after changes are posted, you accept the revised Terms and waive any right you may have to receive specific notice of updates.

License to Use the Services

Grant of License

Bestill Meditation LLC grants you a worldwide, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use, subject to your compliance with these Terms.

Download or stream content from the Services solely for your personal, non-commercial enjoyment.

Restrictions

Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Services.

Termination of License

This license is automatically revoked if you violate these Terms or if your account is suspended or terminated. Upon termination, you must immediately cease all use of the Services and delete any copies of content obtained through the Services.

Reservation of Rights

All rights not expressly granted to you are reserved by Bestill Meditation LLC and its licensors.

2. Eligibility & User Accounts

One Account Per User

Unless explicitly approved by us, you may only maintain one account. Creating multiple accounts without authorization may result in suspension or permanent termination.

By registering an account, you represent and warrant that you meet the eligibility requirements and that you are fully responsible for all activities carried out under your account.

Export Control & Geographic Restrictions

You may not use or access the Services in any country or territory where doing so would violate applicable laws or regulations. The Services may be subject to U.S. and international export control laws, including restrictions on the export of software or technology. By using the Services, you agree not to export or re-export them in violation of such laws and acknowledge that it is your responsibility to comply with all applicable local regulations. Access from countries subject to U.S. embargoes or sanctions is prohibited.

3. User Conduct & Acceptable Use

Summary: You agree to use the Services responsibly, lawfully, and in a way that does not harm others or interfere with the functioning of the platform.

When using our Services, you must comply with all applicable laws and these Terms. You agree not to engage in conduct that is harmful, unlawful, or disruptive, including but not limited to:

We reserve the right to investigate and take appropriate action (including account suspension or termination) if you violate these rules or engage in behavior that undermines the integrity or security of our Services. Do not include any personal, sensitive, or confidential information in Submissions, as we are not responsible for protecting such information.

4. User Content

Summary: You are responsible for the content you create, share, or upload through our Services. While you keep ownership of your content, you grant us limited rights to use it so that we can operate and improve the Services.

Your Responsibility for User Content

You retain ownership of any intellectual property rights that you hold in your User Content. Nothing in these Terms transfers ownership of your User Content to Bestill Meditation LLC.

License You Grant to Us

By submitting User Content through our Services, you grant Bestill Meditation LLC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

Operate the Services: Use, reproduce, modify, adapt, publish, translate, and distribute your User Content to provide the features and functionality of the Services.
Improve and Develop Services: Analyze and use User Content for research, troubleshooting, and product improvement.
Promote the Services: Use User Content (excluding private communications) in marketing materials, case studies, or promotional content, but only with your consent where required by law.

Non-Confidential Submissions

From time to time, you may provide suggestions, ideas, or other feedback regarding the Services (“Submissions”). You acknowledge that any Submissions are non-confidential and non-proprietary. By providing Submissions, you grant Bestill Meditation LLC a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, and display the Submissions in connection with the Services or for any other purpose, without compensation or obligation to you. You agree that you will not submit any Submissions that you consider confidential or proprietary.

Prohibited Content

You agree not to submit any User Content that is:

Illegal or Harmful: Content that violates laws or regulations, promotes violence, or contains harmful code.
Infringing: Content that violates intellectual property rights, privacy rights, or publicity rights of others.
Offensive or Inappropriate: Content that is defamatory, obscene, harassing, or otherwise objectionable.

Monitoring and Removal

We reserve the right (but are not obligated) to monitor, review, or remove User Content that we determine violates these Terms or applicable law, or that may otherwise harm the Services, our users, or third parties.

5. Purchases, Payments, and Subscriptions

Summary: Some features of our Services require payment. By making a purchase or subscribing, you agree to pay all applicable fees and charges and to abide by the billing terms presented to you.

Purchases and Subscriptions

We may offer one-time purchases, recurring subscriptions, or in-app purchases to access certain features, content, or functionality within Bestill Meditation. When you make a purchase, you agree to provide accurate, complete, and up-to-date payment information. You are responsible for reviewing your payment method and billing statements to ensure accuracy and for any charges.

Payment Processing

Payments are processed by third-party payment processors. By submitting your payment information, you authorize us and our payment processors to charge the applicable fees to your selected payment method. We do not store full credit card or bank account details, though payment processors may retain such information in accordance with their privacy policies.

Recurring Subscriptions and Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel prior to renewal. The renewal fee will be charged using your chosen payment method. We do not send advance reminders before renewal; it is your responsibility to manage your subscription and cancellation before the renewal date.

Fees, Taxes, and Promotions

Subscription fees and applicable taxes are disclosed at the time of purchase and may be subject to change. Fee changes will apply at the start of the next billing cycle after notice is provided. We may, at our discretion, offer free trials, discounts, or promotional pricing. If you do not cancel before the end of a free trial, you may be automatically enrolled in a paid subscription.

In-App Purchases via App Stores

Purchases made through third-party platforms, such as the Apple App Store or Google Play Store, are governed by the platform’s terms, conditions, and refund policies. Billing or refund inquiries must be directed to the respective app store provider.

Cancellations and Refunds

You may cancel a subscription at any time through your account settings or the app store where the purchase was made. Cancellation will take effect at the end of the current billing cycle, and no further charges will be applied. Except where required by law, all payments are non-refundable.

Failure to Pay

If you fail to pay fees when due, we reserve the right to suspend or terminate your access to the Services until payment is received.

6. Intellectual Property Rights

Summary: All rights in our Services, including the app, website, and related content, belong to Bestill Meditation LLC or our licensors. You may use our Services only as permitted in these Terms and do not acquire any ownership rights.

Ownership of the Services

The Bestill Meditation app, website (bestillmeditationapp.com), and all related materials — including software, code, designs, graphics, text, sound, video, interfaces, and the arrangement thereof — are the exclusive property of Bestill Meditation LLC or our licensors. All rights not expressly granted to you in these Terms are reserved by Bestill Meditation LLC and our licensors.

Copyright Infringement / DMCA Notice

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, we will respond to properly submitted notices of alleged copyright infringement. Termination for Inactivity

We may terminate or deactivate accounts that have been inactive for a period of 18 months or more. Inactivity is defined as not logging into or otherwise using the Services. Prior to termination for inactivity, we may attempt to notify you at your registered email address. Upon termination for inactivity, any active subscriptions will be canceled in accordance with Section 5, and User Content associated with your account may be deleted.

Effect of Termination

Upon termination or suspension:

You must immediately cease all use of the Services.
We may delete or deactivate your account and all associated content.
Any rights or licenses granted to you under these Terms will immediately end.

Termination does not affect any rights or obligations accrued prior to termination, including payment obligations, indemnification, or liability limitations.

Survival of Terms

Certain sections of these Terms, including Intellectual Property Rights, Limitation of Liability & Disclaimers, Indemnification, and Governing Law, will survive the termination or suspension of your account.

11. Governing Law & Dispute Resolution

Summary: These Terms are governed by Utah law. Any disputes must be resolved through binding arbitration or in courts as described below.

Governing Law

These Terms and your use of the Services are governed by the laws of the State of Utah, without regard to its conflict of law principles.

Agreement to Arbitrate

You and Bestill Meditation LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through final and binding arbitration.

Arbitration Rules and Procedures

Arbitration will be administered by a neutral arbitration organization in accordance with its rules. The arbitration may be conducted virtually (online or via teleconference) or, if necessary, in person.

Location

If arbitration occurs in person, the default location will be Orem, Utah, unless both parties agree to a different venue.

Exceptions

This arbitration agreement does not prevent either party from seeking injunctive or equitable relief in a court of law when necessary to protect intellectual property rights or confidential information.

Waiver of Class Actions

You and Bestill Meditation LLC agree that arbitration will be conducted on an individual basis only. Class, collective, or representative actions are waived and are not permitted.

Costs and Fees

Each party will bear its own costs and attorney’s fees, except as otherwise required by law or the arbitration rules.

12. Severability & Entire Agreement
